Lightbeam Health Solutions has acquired Syntax Health, a move aimed at strengthening its platform for value-based care by enhancing contract modeling and incentive design capabilities.
The Dallas-based health tech firm said Syntax’s software and actuarial tools will be integrated into its operating system, giving payers and providers more advanced options for modeling contracts, forecasting financial performance, and aligning incentives across value-based arrangements.
Syntax, headquartered in Atlanta, offers a SaaS platform focused on simplifying the contracting process between payers and providers. Its tools provide real-time modeling and negotiation features, supported by actuarial data, designed to promote transparency and collaboration in the value-based care environment.

"Value-based care only works when everyone at the table can finally see the same picture," said Rachael Jones, CEO of Syntax Health. The acquisition follows Lightbeam’s recent partnership with Wakely Consulting Group, a firm known for actuarial benchmarking and forecasting. While the Wakely partnership supports high-level strategy, Syntax’s platform offers hands-on tools to bring those insights into day-to-day contract modeling and negotiation.
The companies said the combined offering will allow healthcare organizations to create and evaluate contracts more efficiently, using consistent financial assumptions and data-driven insights.
Lightbeam provides AI-enabled population health solutions to payers and providers, supporting a wide range of programs including ACO REACH, MSSP ACO, Medicare Advantage, Medicaid, and commercial plans.
Terms of the Syntax acquisition were not disclosed.
